TermsofAppointment-ResidentialSales
Definitions
InthisSchedulethefollowingtermsmean:-
ActmeansPropertyOccupationsAct2014andRegulationsthereto.
AppointmentmeansPropertyOccupationsForm6Appointment ofa Property Agent including ItemSchedule, Termsof Appointment and any otherannexures.
AppointmentCommencementDate:Thedateassetout inPart (4.2) of the attached Property OccupationsForm6unlessotherwisespecified.
BeneficialInterest:alicensee,otherthanapropertydeveloper, is taken to have a beneficial interest inproperty in each of the cases listedin Section 153 oftheAct.
ComparativeMarketAnalysis:adocumentcomparingthe offered Property with at least 3 properties soldwithin the previous 6 months that are of a similarstandardorconditiontotheofferedPropertyandarewithin5kmofthatProperty.
Conduct Standards:the Conduct StandardsforLicenseesandRealEstateSalespersonssetoutintheActandRegulations.
ConjunctionSalemeansasaleconductedinassociationwithanotherorotherAgents.
Electronic Document:means any electroniccommunication(including Notices) as defined in theElectronic Transactions (Queensland) Act 2001includingany electronically generated documentsituatedonanexternalserverreadilyaccessibleviaalink within an electronic communication or otherelectronicallygenerateddocument.
RelatedDocument:meansanywrittencommunication(including Notices), withregard to this matter, betweenthepartiesincludinganyElectronicDocuments.
RelevantContract:acontractforthesaleofresidentialproperty in Queensland, other than a contract formedonasalebyauction(Section160oftheAct).
AppointmentofAgent
In consideration of and in accordancewith the terms of thisAppointment,the Client appoints the Agent and its permittedAssigns,andtheAgentagreestosellthePropertyfortheClient.AuthorityvestedintheAgentbythisAppointmentshallbe deemed to be vested in the Agent’s authorisedemployees.
ThestartdateofthisAppointmentwillbethatsetoutinPart(4.2)oftheattachedPropertyOccupationsForm6orifnodateisinsertedthelaterofthedateseithertheClientortheAgentsignedthisAppointment.
Where details as to the term of appointment are notcompletedinPart(4.2)oftheattachedPropertyOccupationsForm6thisAppointmentisacontinuingappointment.
ListPrice
TheClientinstructstheAgenttolistthePropertyattheListPrice mentioned in Part (4.3) of the attached PropertyOccupationsForm6.
The Client acknowledgesit has not relied on any informationprovided by the Agent other than those contained in theComparativeMarketAnalysisorwrittenexplanationofmarketvalueinarrivingattheListPrice.
ExclusiveAppointment
IftheClientbythisAppointmentappointstheAgentasExclusiveAgent:
theClientwillforthedurationofthisAppointmentreferanyprospectivebuyersofwhichtheClientbecomesawaretotheAgent.
If another party acts for the Client in providing theservicessetoutinthisAppointment,theClientwillstillbe responsible for Commission and/or Fees to theAgentasoutlinedinthisAppointment.
Reappointment
SubjecttoClause5.2theClientmayreappointtheAgent,intheapprovedform,forafurtherperiodunderthesametermsandconditions by completing Part 10 (Reappointment) oftheir copy of this Appointment and providingit to the Agent(s111oftheAct).
WheretheAppointmentisasoleorexclusiveagencyforthesale of residentialproperty the Client must provide theReappointment to the Agent not more than 14days prior totheexpiryofthisAppointment(s110oftheAct).
Where the Clienthas in accordance with Clauses 5.1 and(where applicable) 5.2 Reappointed the Agent in theapprovedformthePartiesagreethattheAgenthastherightto end or revoke the Reappointmentby giving written noticeto the Client within 7 days after receiving theReappointment.
WheretheAgentendsorrevokestheReappointmenttheappointmentwillend:
wherethisappointmenthasnotended,inaccordancewiththetermsandconditionsoftheAppointment.
where this Appointment has ended and theReappointmentcommenced,onserviceofthewrittennoticerequiredinaccordancewithClause5.3.
WheretheAgentdoesnotserveanoticeinaccordancewithClause 5.3 this will be confirmation of the Agent’sacceptanceofReappointment.
ConjunctionalSales
TheAgenthas,priortosigningthisAppointment,explainedtotheClient:
generalissueaboutaSaleconductedinconjunctionwithotherAgents.
theAgent’spolicyaboutConjunctionalSalesincludingthe percentage apportionment of CommissionbetweentheAgents.
BeforeagreeingwithanotherRealEstateAgenttoconductaConjunctionSale,anAgentmust:
disclosetotheClientthenameoftheotheragentwithwhomtheAgentproposestoact
advisetheotheragentoftheClient’sinstructionsforthesale.
ThepercentageapportionmentofCommissionbetweentheAgents,ifaconjunctionagreementistotakeplace,shallbethepercentagestatedinItem(D).
ManagingAgent
TheClientstatestheManagingAgentfortheProperty isthepersonnamedinItem(G)oftheItemSchedule.
OnceaPropertyAgentacceptsanappointmenttosellatenanted residential or business property, writtennoticemustbegivenbythesellingAgentimmediatelytotheManagingAgent.
TheManagingAgent,onceawareoftheintentiontoselltheProperty,must notify the tenant in writing of the Propertybeing listed for sale and of the appointment of a PropertyAgent(RealEstateAgentorauctioneer)toselltheProperty.
Commission
TheClientagreesCommissionwillbedueandpayable:
asdetailedinPart(7-WhenCommissionisPayable)oftheattachedPropertyOccupationsForm6;
onsettlementofthesale;or
pursuanttoClause8.2.
Shouldanenforceablecontractbeenteredintobutnotcompleteddueto:
anyactoromissionoftheClient;or
the Client, as Seller, releasing the Purchaser (bymutualagreementorotherwise)fromthePurchaser’scontractualobligations;or
thedepositforfeited;intermsoftheSalesContracttotheSeller
the Client agrees the Commissionis payable to the Agentforthwith. Providedhowever, where Clause 8.2(c) applies,commission will remain due but monies payable shall(subjecttotheSeller’srightstoclaimdamagesforbreachofcontract)belimitedtothereceipteddepositmonies.
TheClientauthorisesanddirectstheCommissiontobe
paidtotheAgentinaccordancewiththisAppointmentbytheperson holding the deposit monies or other monies dueunder the contract for the sale of the Property, be that thestakeholder or other person as provided herein. ThisAppointmentshall be sufficient authority and discharge forsuchpayment.
Notwithstanding themonetary amount listed in Part (7) ofthe Property Occupations Form 6 the amount ofCommissionwillbeinaccordancewithItem(A)oftheItemSchedule.
Fees,ChargesandExpenses
The Clientwill pay all Fees, Charges, Expenses and otheroutlaysowingtoorincurredbytheAgentinassociationwiththis Appointment, as detailed in Part (8) of the attachedPropertyOccupationsForm6.Whennodatehasbeeninsertedpaymentwillbewithin7days.
Auction
TheReservepriceistheamountstatedinPart(4.3)oftheattached Property OccupationsForm 6 unless otherwiseinstructed in writing by the Client or any otherauthorisedpersonpriortotheAuctiontakingplace.
TheAgent must not sell the Property if bidding does notreachtheReserveprice.ShouldnoReservepricebegivenin this Appointment the Reserve price must be given inwritingtotheAuctioneerbeforetheAuctioncommences.
TheAuctionshalltakeplaceonthedatespecifiedinPart(4.1)ofthePropertyOccupationsForm6.
ThetimeandplaceoftheAuctionmaybedeterminedbytheAgentandOwnerinwritingunlessspecifiedinItem(J).
The Client authorises the Agent to employ a LicensedAuctioneertocarryouttheAuction.ThefeewhichtheClientmust pay is specified in Part (8.3) of the PropertyOccupationsForm6.
ShouldthePropertybesoldbyAuction,thecontractwillbeunconditionalforcashwithadepositof10%payableonthefall of the hammer and settlement within thirty (30) daysofthedateoftheAuction.
TheTermsandConditionsofaRelevantContractshallbeasagreedbytheClientandtheAgentpriortoAuction.
Client’sObligationsandAuthority
TheClientwarrants:
itistheowneroftheProperty,thedescriptioninPart(3)of the Property Occupations Form6 is correct and theClient is authorised to appointthe Agent for sale of theProperty.
ithasandwillmaintainPublicLiability Insuranceinasumnotlessthan10milliondollars.
allinformationrelevanttothesaleofthePropertydisclosedbytheClienttotheAgentiscorrect.
The Agent is authorised, at the Client’s cost, to makeenquiriesrelatingtothewarrantiesgiveninClause11.1.
Where the Clienthas indicated ‘yes’ in Item (O) of the ItemSchedule,theClientwillprovidetotheAgentcopiesofsuchapplications or orders at the time of entering into thisAppointment. The Client will also provide copies ofsubsequent applicationsor orders made during the term ofthisAppointment.
The Clientwill, where applicable, make available to theAgent,anycurrentPoolSafetyCertificateorForm17(FinalInspection Certificate) issuedprior to or during the term ofthisAppointment.
The Client will provide to the Agent such additionalinformationastheAgentmayreasonablyrequestfromtimetotimerelevanttomatterscontainedinClause11.
Whereaproduct,fixtureorfittingprovidedwiththePropertyhasawarninglabelorsafetyinstructionsattachedtheClientisnottodeface,damageorremovesuchlabel.
TheClienthascompliedwithrelevantlegislativerequirementswithrespecttotheProperty.
Agent’sResponsibilities
In compliance with the Clients instructions and inaccordancewiththePropertyOccupationsForm6,theappointedAgentmustkeeptheClientinformedof:
anyissuesorotherinformationrelevanttotheProperty
eachexpressionofinteresteitherwrittenororalaboutthesaleoftheProperty.
unlessotherwisespecifiedinwritingbytheClient.
NotwithstandingtheprovisionofClause12.1(2)theClientbythis Appointment agrees only offers in writing andexpressions of interest in accordance with the ClientsinstructionsshallbecommunicatedtotheClient.
The Agent must act in accordance with the Clientsinstructions unless such instructions are contrary to theConductStandardsprescribedintheRegulationstotheAct.
PhotographConsent
The Agent will take any photos in accordance with theClient’s instructions (if any) set out in Part (4.4) of theProperty Occupations Form 6 and will take all reasonablecaretoensuretheprivacyoftheClientand/oranyTenantofthePropertyandinsodoingwillnotphotographpersonalchattelswithout authority.
ShouldtheProperty betenanted,photosmaynotbetakenunless and until the written consent of the Tenant isobtained.It is the responsibility of the Client or managingagenttoobtainsuchconsent.
BeneficialInterest
TheAgent maynotobtainaBeneficialInterestinthePropertyunlesstheAgent,beforeaRelevantContractforthePropertyis entered into,obtains the Client’s written acknowledgmentin the approved form – in accordance with the provisions ofSection155oftheAct.
TerminationPenalty
TheSellerandtheAgentagreetheAgentwillbeentitledtoaterminationpenalty (0.25% ofthe purchaseprice(section159oftheAct)),apportionedbetweentheAgentandSellerinaccordancewithItem(I)inrelationtoaRelevantContract
terminatedbyaBuyer(Section168of theAct)andthereceiptby the Agent for its share (if any) of a termination penaltyshallbesufficientdischargetothedepositholderwith
respect toits duty to account to the Client the Agent’sallocatedshareofthepenaltyanddistributethepenalty inaccordancewithItem(I).
WorkHealthandSafety
Insofaras either party to this Appointment is, with respect tothe Premises a – Person Conducting a Business orUndertaking (under theWork Health and SafetyAct 2011,RegulationsorrelevantCodesofPracticeinrelationthereto)suchpartymustcomplywiththeAct,RegulationsorrelevantCodes of Practice. Provided however,in carrying out suchobligationstheAgentactsonlyasAgentfortheClient.
Indemnity
The Agent having complied with its obligationsunder thisAppointment andnot having been negligent, the ClientindemnifiestheAgent,itsofficersandemployees,fromandagainst all liabilities, actions, claims, demands, losses,costs (on an indemnity basis), damages and expensesarisingoutoforinrespectofthisAppointmentfrom:
theClient’sfailuretocomply withthisAppointment;or

theAgentactingonbehalfoftheClientunderthisAppointment;or
theClient’sfailuretodiscloserequiredinformationrelevanttothisAppointment;or
awarninglabelorsafetyinstructionshavingbeenremoved, damaged ordefaced where a product orfittinghasbeensuppliedtothePropertywithsuchalabelorinstructionattached.
PrivacyStatement
TheAgentmustcomplywiththeprovisionsoftheAustralianPrivacy Principles (Privacy Act 1988) and where requiredmaintainaPrivacyPolicy.
The Privacy Policy outlines how theAgent collects and usespersonal information provided by you as the Client, orobtainedbyothermeans,toprovidetheservicesrequiredbyyouoronyourbehalf.
YouasClientagreetheAgentmay,subjecttothePrivacyAct1988 (CTH)(where applicable), collect, use and disclosesuchinformationto:
potentialbuyers,totheextentrequiredtoprepareacontractforthesaleoftheProperty;and/or
propertydatacollectionagencies;and/or
BodyCorporatesandfinancialinstitutions;and/or

WithoutprovisionofcertaininformationtheAgentmaynotbeabletoacteffectivelyoratallontheClient’sbehalf.
The Client has the right to access such personalinformationandmayrequirecorrectionoramendmentofany inaccurate, incomplete, outof date or irrelevantinformation.
TheAgentwillprovide(whereapplicable),onrequest,acopyofitsPrivacyPolicy.
RelatedDocuments/Notices
Thepartiesagreeandconfirmdocumentsmaybeforwardedelectronicallyinaccordancewiththisclause.
AnyRelatedDocument,includingthisAppointment,tobeserved on any party under this Appointmentshall be inwritingandmaybeservedonthatparty:
bydeliveringittothepartypersonally;or
byleavingitforthepartyatthatparty’saddressasstatedinthis Appointment;or
bypostingittothepartybyordinarymailorsecuritymailasaletteraddressedtotheparty attheaddressasstatedinthisAppointment;or
as an electronic communication by facsimiletransmission,emailorSMStextmessagetothepartyat the appropriate electronicaddress as stated in thisAppointment;or
by delivery to an alternative address provided in writingby the party, by any of the methods outlined in Clauses19.2(a)to(d)above.
A Related Documentposted shall be deemed to have beenserved, unless the contrary is shown, atthe time when, bytheordinarycourseofpost,theRelatedDocumentwouldbedelivered.
ARelatedDocumentsentby electroniccommunicationwillbe deemed to have been received in accordance withSection24oftheElectronicTransactions(Queensland)Act2001.
Related Documentsgiven by a party’s solicitor will bedeemedtohavebeengivenbyandwiththeauthorityoftheparty.
Related Documents must be served before 5pm on abusinessday,failingwhich,suchRelatedDocumentwillbedeemedtohavebeenservedonthenextbusinessday.
The parties acknowledge and agree an ElectronicDocument readily accessible via a linkwithin a RelatedDocumentis received when the Related Document isservedandwillbeopenedwhentheRelatedDocumentisopened.
The partiesagree to execution, delivery and service ofRelatedDocumentselectronicallybyamethodprovidedbyDocuSignorsuchotheragreedelectronicsignatureserviceprovider.

AnySpecialConditionstothisAppointmentshallformpartofthis Appointment. Should there be inconsistency betweenthese Terms of Appointment and a Special Condition,theSpecial Condition will apply. All Special Conditionsmust beincompliancewithallrelevantlegislation.
SpecialConditionstothisAppointmentwhereinsertedatthedirection of the Client were prepared by the Client or anAustralianLegalPractitionerinstructedbytheClientandnotbytheAgent.NowarrantyisgivenbytheAgentwithrespecttosuchclauses.Legaladviceshouldbesought.
