\/>\nReappointment<br \/>\nSubjecttoClause5.2theClientmayreappointtheAgent,intheapprovedform,forafurtherperiodunderthesametermsandconditions by completing Part 10 (Reappointment) oftheir copy of this Appointment and providingit to the Agent(s111oftheAct).<br \/>\nWheretheAppointmentisasoleorexclusiveagencyforthesale of residentialproperty the Client must provide theReappointment to the Agent not more than 14days prior totheexpiryofthisAppointment(s110oftheAct).<br \/>\nWhere the Clienthas in accordance with Clauses 5.1 and(where applicable) 5.2 Reappointed the Agent in theapprovedformthePartiesagreethattheAgenthastherightto end or revoke the Reappointmentby giving written noticeto the Client within 7 days after receiving theReappointment.<br \/>\nWheretheAgentendsorrevokestheReappointmenttheappointmentwillend:<br \/>\nwherethisappointmenthasnotended,inaccordancewiththetermsandconditionsoftheAppointment.<br \/>\nwhere this Appointment has ended and theReappointmentcommenced,onserviceofthewrittennoticerequiredinaccordancewithClause5.3.<\/p>\n<p>WheretheAgentdoesnotserveanoticeinaccordancewithClause 5.3 this will be confirmation of the Agent\u2019sacceptanceofReappointment.<br \/>\nConjunctionalSales<br \/>\nTheAgenthas,priortosigningthisAppointment,explainedtotheClient:<br \/>\ngeneralissueaboutaSaleconductedinconjunctionwithotherAgents.<br \/>\ntheAgent\u2019spolicyaboutConjunctionalSalesincludingthe percentage apportionment of CommissionbetweentheAgents.<\/p>\n<p>BeforeagreeingwithanotherRealEstateAgenttoconductaConjunctionSale,anAgentmust:<br \/>\ndisclosetotheClientthenameoftheotheragentwithwhomtheAgentproposestoact<br \/>\nadvisetheotheragentoftheClient\u2019sinstructionsforthesale.<\/p>\n<p>ThepercentageapportionmentofCommissionbetweentheAgents,ifaconjunctionagreementistotakeplace,shallbethepercentagestatedinItem(D).<br \/>\nManagingAgent<br \/>\nTheClientstatestheManagingAgentfortheProperty isthepersonnamedinItem(G)oftheItemSchedule.<br \/>\nOnceaPropertyAgentacceptsanappointmenttosellatenanted residential or business property, writtennoticemustbegivenbythesellingAgentimmediatelytotheManagingAgent.<br \/>\nTheManagingAgent,onceawareoftheintentiontoselltheProperty,must notify the tenant in writing of the Propertybeing listed for sale and of the appointment of a PropertyAgent(RealEstateAgentorauctioneer)toselltheProperty.<br \/>\nCommission<br \/>\nTheClientagreesCommissionwillbedueandpayable:<br \/>\nasdetailedinPart(7-WhenCommissionisPayable)oftheattachedPropertyOccupationsForm6;<br \/>\nonsettlementofthesale;or<br \/>\npursuanttoClause8.2.<\/p>\n<p>Shouldanenforceablecontractbeenteredintobutnotcompleteddueto:<br \/>\nanyactoromissionoftheClient;or<br \/>\nthe Client, as Seller, releasing the Purchaser (bymutualagreementorotherwise)fromthePurchaser\u2019scontractualobligations;or<\/p>\n<p>thedepositforfeited;intermsoftheSalesContracttotheSeller<br \/>\nthe Client agrees the Commissionis payable to the Agentforthwith. Providedhowever, where Clause 8.2(c) applies,commission will remain due but monies payable shall(subjecttotheSeller\u2019srightstoclaimdamagesforbreachofcontract)belimitedtothereceipteddepositmonies.<br \/>\nTheClientauthorisesanddirectstheCommissiontobe<br \/>\npaidtotheAgentinaccordancewiththisAppointmentbytheperson holding the deposit monies or other monies dueunder the contract for the sale of the Property, be that thestakeholder or other person as provided herein. ThisAppointmentshall be sufficient authority and discharge forsuchpayment.<br \/>\nNotwithstanding themonetary amount listed in Part (7) ofthe Property Occupations Form 6 the amount ofCommissionwillbeinaccordancewithItem(A)oftheItemSchedule.<br \/>\nFees,ChargesandExpenses<br \/>\nThe Clientwill pay all Fees, Charges, Expenses and otheroutlaysowingtoorincurredbytheAgentinassociationwiththis Appointment, as detailed in Part (8) of the attachedPropertyOccupationsForm6.Whennodatehasbeeninsertedpaymentwillbewithin7days.<br \/>\nAuction<br \/>\nTheReservepriceistheamountstatedinPart(4.3)oftheattached Property OccupationsForm 6 unless otherwiseinstructed in writing by the Client or any otherauthorisedpersonpriortotheAuctiontakingplace.<br \/>\nTheAgent must not sell the Property if bidding does notreachtheReserveprice.ShouldnoReservepricebegivenin this Appointment the Reserve price must be given inwritingtotheAuctioneerbeforetheAuctioncommences.<br \/>\nTheAuctionshalltakeplaceonthedatespecifiedinPart(4.1)ofthePropertyOccupationsForm6.<br \/>\nThetimeandplaceoftheAuctionmaybedeterminedbytheAgentandOwnerinwritingunlessspecifiedinItem(J).<br \/>\nThe Client authorises the Agent to employ a LicensedAuctioneertocarryouttheAuction.ThefeewhichtheClientmust pay is specified in Part (8.3) of the PropertyOccupationsForm6.<br \/>\nShouldthePropertybesoldbyAuction,thecontractwillbeunconditionalforcashwithadepositof10%payableonthefall of the hammer and settlement within thirty (30) daysofthedateoftheAuction.<br \/>\nTheTermsandConditionsofaRelevantContractshallbeasagreedbytheClientandtheAgentpriortoAuction.<br \/>\nClient\u2019sObligationsandAuthority<br \/>\nTheClientwarrants:<br \/>\nitistheowneroftheProperty,thedescriptioninPart(3)of the Property Occupations Form6 is correct and theClient is authorised to appointthe Agent for sale of theProperty.<br \/>\nithasandwillmaintainPublicLiability Insuranceinasumnotlessthan10milliondollars.<br \/>\nallinformationrelevanttothesaleofthePropertydisclosedbytheClienttotheAgentiscorrect.<\/p>\n<p>The Agent is authorised, at the Client\u2019s cost, to makeenquiriesrelatingtothewarrantiesgiveninClause11.1.<br \/>\nWhere the Clienthas indicated \u2018yes\u2019 in Item (O) of the ItemSchedule,theClientwillprovidetotheAgentcopiesofsuchapplications or orders at the time of entering into thisAppointment. The Client will also provide copies ofsubsequent applicationsor orders made during the term ofthisAppointment.<br \/>\nThe Clientwill, where applicable, make available to theAgent,anycurrentPoolSafetyCertificateorForm17(FinalInspection Certificate) issuedprior to or during the term ofthisAppointment.<br \/>\nThe Client will provide to the Agent such additionalinformationastheAgentmayreasonablyrequestfromtimetotimerelevanttomatterscontainedinClause11.<br \/>\nWhereaproduct,fixtureorfittingprovidedwiththePropertyhasawarninglabelorsafetyinstructionsattachedtheClientisnottodeface,damageorremovesuchlabel.<br \/>\nTheClienthascompliedwithrelevantlegislativerequirementswithrespecttotheProperty.<br \/>\nAgent\u2019sResponsibilities<br \/>\nIn compliance with the Clients instructions and inaccordancewiththePropertyOccupationsForm6,theappointedAgentmustkeeptheClientinformedof:<br \/>\nanyissuesorotherinformationrelevanttotheProperty<br \/>\neachexpressionofinteresteitherwrittenororalaboutthesaleoftheProperty.<\/p>\n<p>unlessotherwisespecifiedinwritingbytheClient.<br \/>\nNotwithstandingtheprovisionofClause12.1(2)theClientbythis Appointment agrees only offers in writing andexpressions of interest in accordance with the ClientsinstructionsshallbecommunicatedtotheClient.<br \/>\nThe Agent must act in accordance with the Clientsinstructions unless such instructions are contrary to theConductStandardsprescribedintheRegulationstotheAct.<br \/>\nPhotographConsent<br \/>\nThe Agent will take any photos in accordance with theClient\u2019s instructions (if any) set out in Part (4.4) of theProperty Occupations Form 6 and will take all reasonablecaretoensuretheprivacyoftheClientand\/oranyTenantofthePropertyandinsodoingwillnotphotographpersonalchattelswithout authority.<br \/>\nShouldtheProperty betenanted,photosmaynotbetakenunless and until the written consent of the Tenant isobtained.It is the responsibility of the Client or managingagenttoobtainsuchconsent.<br \/>\nBeneficialInterest<br \/>\nTheAgent maynotobtainaBeneficialInterestinthePropertyunlesstheAgent,beforeaRelevantContractforthePropertyis entered into,obtains the Client\u2019s written acknowledgmentin the approved form \u2013 in accordance with the provisions ofSection155oftheAct.<br \/>\nTerminationPenalty<br \/>\nTheSellerandtheAgentagreetheAgentwillbeentitledtoaterminationpenalty (0.25% ofthe purchaseprice(section159oftheAct)),apportionedbetweentheAgentandSellerinaccordancewithItem(I)inrelationtoaRelevantContract<br \/>\nterminatedbyaBuyer(Section168of theAct)andthereceiptby the Agent for its share (if any) of a termination penaltyshallbesufficientdischargetothedepositholderwith<br \/>\nrespect toits duty to account to the Client the Agent\u2019sallocatedshareofthepenaltyanddistributethepenalty inaccordancewithItem(I).<br \/>\nWorkHealthandSafety<br \/>\nInsofaras either party to this Appointment is, with respect tothe Premises a \u2013 Person Conducting a Business orUndertaking (under theWork Health and SafetyAct 2011,RegulationsorrelevantCodesofPracticeinrelationthereto)suchpartymustcomplywiththeAct,RegulationsorrelevantCodes of Practice. Provided however,in carrying out suchobligationstheAgentactsonlyasAgentfortheClient.<br \/>\nIndemnity<br \/>\nThe Agent having complied with its obligationsunder thisAppointment andnot having been negligent, the ClientindemnifiestheAgent,itsofficersandemployees,fromandagainst all liabilities, actions, claims, demands, losses,costs (on an indemnity basis), damages and expensesarisingoutoforinrespectofthisAppointmentfrom:<br \/>\ntheClient\u2019sfailuretocomply withthisAppointment;or<br \/>\ntheClient\u2019sfailuretogivetheAgentappropriateauthorityorinstruction;or<br \/>\ntheAgentactingonbehalfoftheClientunderthisAppointment;or<br \/>\ntheClient\u2019sfailuretodiscloserequiredinformationrelevanttothisAppointment;or<br \/>\nawarninglabelorsafetyinstructionshavingbeenremoved, damaged ordefaced where a product orfittinghasbeensuppliedtothePropertywithsuchalabelorinstructionattached.<br \/>\nPrivacyStatement<br \/>\nTheAgentmustcomplywiththeprovisionsoftheAustralianPrivacy Principles (Privacy Act 1988) and where requiredmaintainaPrivacyPolicy.<br \/>\nThe Privacy Policy outlines how theAgent collects and usespersonal information provided by you as the Client, orobtainedbyothermeans,toprovidetheservicesrequiredbyyouoronyourbehalf.<br \/>\nYouasClientagreetheAgentmay,subjecttothePrivacyAct1988 (CTH)(where applicable), collect, use and disclosesuchinformationto:<br \/>\npotentialbuyers,totheextentrequiredtoprepareacontractforthesaleoftheProperty;and\/or<br \/>\npropertydatacollectionagencies;and\/or<br \/>\nBodyCorporatesandfinancialinstitutions;and\/or<br \/>\notherthirdpartiesasmayberequiredbytheAgentforthe purposes of marketing, sales promotion andadministration relating to the use of the Agent\u2019sproducts andservices and complying with legislativeandregulatoryrequirements.<\/p>\n<p>WithoutprovisionofcertaininformationtheAgentmaynotbeabletoacteffectivelyoratallontheClient\u2019sbehalf.<br \/>\nThe Client has the right to access such personalinformationandmayrequirecorrectionoramendmentofany inaccurate, incomplete, outof date or irrelevantinformation.<br \/>\nTheAgentwillprovide(whereapplicable),onrequest,acopyofitsPrivacyPolicy.<br \/>\nRelatedDocuments\/Notices<br \/>\nThepartiesagreeandconfirmdocumentsmaybeforwardedelectronicallyinaccordancewiththisclause.<br \/>\nAnyRelatedDocument,includingthisAppointment,tobeserved on any party under this Appointmentshall be inwritingandmaybeservedonthatparty:<br \/>\nbydeliveringittothepartypersonally;or<br \/>\nbyleavingitforthepartyatthatparty\u2019saddressasstatedinthis Appointment;or<br \/>\nbypostingittothepartybyordinarymailorsecuritymailasaletteraddressedtotheparty attheaddressasstatedinthisAppointment;or<br \/>\nas an electronic communication by facsimiletransmission,emailorSMStextmessagetothepartyat the appropriate electronicaddress as stated in thisAppointment;or<br \/>\nby delivery to an alternative address provided in writingby the party, by any of the methods outlined in Clauses19.2(a)to(d)above.<\/p>\n<p>A Related Documentposted shall be deemed to have beenserved, unless the contrary is shown, atthe time when, bytheordinarycourseofpost,theRelatedDocumentwouldbedelivered.<br \/>\nARelatedDocumentsentby electroniccommunicationwillbe deemed to have been received in accordance withSection24oftheElectronicTransactions(Queensland)Act2001.<br \/>\nRelated Documentsgiven by a party\u2019s solicitor will bedeemedtohavebeengivenbyandwiththeauthorityoftheparty.<br \/>\nRelated Documents must be served before 5pm on abusinessday,failingwhich,suchRelatedDocumentwillbedeemedtohavebeenservedonthenextbusinessday.<br \/>\nThe parties acknowledge and agree an ElectronicDocument readily accessible via a linkwithin a RelatedDocumentis received when the Related Document isservedandwillbeopenedwhentheRelatedDocumentisopened.<br \/>\nThe partiesagree to execution, delivery and service ofRelatedDocumentselectronicallybyamethodprovidedbyDocuSignorsuchotheragreedelectronicsignatureserviceprovider.<br \/>\nUsingthisForm<br \/>\nWheresuch information is required to be entered on theapprovedform,informationcontainedintheItemScheduleand the Terms of Appointmentshall apply to the approvedPropertyOccupationsForm6.<br \/>\nSpecialConditions<br \/>\nAnySpecialConditionstothisAppointmentshallformpartofthis Appointment.
